Sandstorm Gold Ltd. (“Sandstorm” or the “Company”) (NYSE MKT: SAND, TSX: SSL) is announcing, pursuant to National Instrument 62-103 - The Early Warning System and Related Take Over Bid and Insider Reporting Issues, the purchase by Sandstorm of an aggregate of 2,617,400 common shares (the “Acquired Shares”) of AuRico Metals Inc. (“AuRico”), representing approximately 2% of the outstanding common shares of AuRico (the “AuRico Shares”).

Prior to the acquisition of the Acquired Shares, Sandstorm owned directly an aggregate of 16,791,881 AuRico Shares, which represents approximately 13% of the issued and outstanding AuRico Shares. Upon completion of the acquisition of the Acquired Shares, an aggregate 19,409,281 AuRico Shares are now owned directly by Sandstorm, representing approximately 15% of the issued and outstanding AuRico Shares.

The Acquired Shares were acquired by Sandstorm on the open market over the facilities of the Toronto Stock Exchange and other published markets for the AuRico Shares at prices ranging from C$0.67 to C$0.70 per Acquired Share. The acquisition of the Common Shares by Sandstorm was effected for investment purposes. Sandstorm may from time to time acquire additional securities of AuRico, dispose of some or all of the existing or additional securities it holds or will hold, or may continue to hold its current position.
