Paris, 10 February 2009 - Atos Origin’s Ordinary & Extraordinary Shareholders’ Meeting was held today with a quorum of 71.47%. The meeting was chaired by Jean-Philippe Thierry.
During the Meeting, Jean-Philippe Thierry, Chairman of the Supervisory Board summarized the actions that had been undertaken since the Annual General Meeting held on 12 June 2008, and during which a new Supervisory Board had been elected.
Jean-Philippe Thierry welcomed the appointment of Thierry Breton at the head of the company, and declared: “His understanding of the Group’s businesses, his experience at the leadership of large high tech companies; as well as his in-depth knowledge of all the French and international economic players made it clear that he was the ideal candidate as Chairman and CEO of Atos Origin.”
Jean-Philippe Thierry presented the resolutions submitted by the Supervisory Board:
- A new mode of governance of the Company with the establishment of a Board of
Directors
- The appointment of 11 directors, including 6 members of the former Supervisory Board: René Abate, Behdad Alizadeh, Bertrand Meunier, Michel Paris, Vernon
Sankey and Jean-Philippe Thierry ; and 5 new members: Nicolas Bazire, Jean-Louis Béchat, Thierry Breton, Dominique Mégret and Pasquale Pistorio
- The election of a Board Member representing the employee shareholders
Thierry Breton also presented the main directions of the Group’s transformation that he immediately put in place upon his arrival at the head of the Group. The company will present its Annual Results on 18 February 2009.

The shareholders subsequently approved the transformation of the company with a Board of Directors, the change of the by-laws and the appointment as directors of all the candidates.
The newly elected Board of Directors held its first meeting right after the General Meeting. It unanimously appointed Thierry Breton as Chairman and CEO of Atos Origin.
The Board of Directors appointed Jean-Paul Béchat as chairman of the audit committee and Behdad Alizadeh as chairman of the nominations and remunerations committee.
